Plain-language summary

Mozac builds custom software and automations for your business. You own everything we build for you from the moment it is paid for. Wherever possible, we build directly inside your own tools and cloud accounts rather than holding your data. We agree on the scope, price, and delivery date in writing before starting work, and we provide a 30-day fix period after delivery. AI can produce unexpected results, so human oversight is required for important business decisions.

You own the work

Master Services Framework & Statements of Work

These Terms of Service ("Terms") govern all professional services, engineering engagements, systems architecture, and technical consultations provided by [LEGAL COMPANY NAME] ("Mozac", "we", "us", or "our") to business clients ("Client", "you", or "your").

Specific deliverables, milestones, timelines, and fees are defined in written Statements of Work ("SOW") or Order Forms agreed by both parties. If an SOW conflicts with these general Terms, the specific terms of the SOW apply for that project.

Work begins only after both parties have approved a written plan defining the scope, acceptance criteria, and price.

Intellectual Property & Code Ownership

You own everything we build for you. All custom software, automation scripts, workflows, and documentation created under an agreed SOW belong to you.

Upon settlement of agreed invoices, Mozac unconditionally assigns to Client all right, title, and interest worldwide in and to all bespoke deliverables.

Repositories in your accounts

Wherever possible, code is written and stored directly inside your own version control accounts (such as GitHub or GitLab) from the first day. Your team can see code commits, tests, and progress throughout the engagement.

Open-source and pre-existing tools

If deliverables include open-source packages (such as MIT or Apache 2.0 licensed software) or pre-existing tools, Mozac grants Client a perpetual, royalty-free, worldwide license to use, modify, and distribute those components as part of the project.

Where the system runs and zero lock-in

Wherever possible, we deploy automated workflows, background tasks, and data connections directly into your own cloud infrastructure accounts (such as AWS, Google Cloud, or Microsoft Azure) or existing software tools.

Mozac does not lock your workflows inside proprietary servers. You do not pay ongoing software license fees to us just to keep your systems running.

When the project finishes, you have complete freedom to maintain, modify, or host the system independently or with another provider.

Confidentiality & Non-Disclosure

We treat all non-public technical and business information disclosed by you as strictly confidential. We are happy to sign a bilateral non-disclosure agreement (NDA) before you share sensitive details.

We apply industry-standard technical, operational, and administrative safeguards to protect against unauthorized access.

Access to your systems is limited to what is needed to complete the work, and you can revoke access at any time.

Data handling and AI model governance

Where possible, we work inside your own accounts so that your business transactions and customer records stay with you. We do not store copies of your private customer data on our own servers.

We never use your private data, prompts, or workflow inputs to train public AI foundation models. When commercial AI providers are used, we configure business accounts where data is not used for training and is discarded after processing according to the provider’s terms.

Client collaboration & access

Successful automation requires working closely with the people who do the work today. Client agrees to provide timely access to systems, documentation, credentials, and feedback needed to complete the milestones.

Delays caused by prolonged lack of access, environments, or approvals will adjust delivery dates accordingly.

Client is responsible for ensuring that all data and credentials provided to Mozac are authorized and lawful.

Fees, invoicing and payment terms

Mozac services are delivered on fixed-price project milestones or agreed monthly plans. You see the price in writing before work begins.

Third-party cloud computing expenses, software subscriptions, and AI provider usage costs are billed directly to your own accounts with those providers.

Invoices are issued according to agreed milestones and are due within net 15 or net 30 days as specified in your agreement.

Fixed scope and 30-day fix period

Upon delivery of each milestone or the finished project, you have a standard 10-business-day review window to test deliverables against the agreed criteria.

We provide a 30-day fix period starting upon completion. During these 30 days, Mozac will promptly fix any reproducible bugs or deviations from the agreed written scope at no additional charge.

Ongoing support or scope expansion after the 30-day period is available through our monthly plans.

Professional standards & statutory disclaimers

Mozac warrants that all work is performed in a professional manner following modern software standards and testing practices.

Deliverables are provided on an "as is" and "as available" basis outside explicit warranties. Because AI foundation models can produce unexpected outputs or errors, we add checks, limits, and human approvals. Client maintains ultimate responsibility for operational and commercial decisions executed by the software.

Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, consequential, special, or exemplary damages, including lost profits.

Except for breaches of confidentiality obligations, each party’s total cumulative liability under an agreement is capped at the total amount paid by Client to Mozac under that agreement in the twelve (12) months preceding the incident.

Term, termination & clean handover

Either party may terminate an engagement for cause upon thirty (30) days’ written notice if the other party materially breaches these Terms and fails to cure the breach within that period.

Upon termination, Client pays for work completed and accepted up to the termination date. Mozac will provide a clean digital handover of code, documentation, and configuration in your accounts.

Governing law & legal contact

These Terms and all agreements shall be governed by and construed in accordance with the laws of [COUNTRY/STATE], without regard to conflict of law principles.

Both parties consent to jurisdiction in the courts located in [COUNTRY/STATE].
